Terms and Conditions

By accessing or using Fulfly’s website, dashboard, or services, you agree to these Terms & Conditions (“Terms”). If you do not agree, please do not use our services.

1) Definitions
• Fulfly / we / us: Fulfly.
• Client / Merchant: Any person or entity using Fulfly’s fulfillment services.
• User: Any person using the website or dashboard.
• Services: Storage, receiving, inventory handling, picking, packing, shipping, COD (if applicable), returns, reporting, and related services.
• Orders: Fulfillment/shipping/return instructions submitted by the Client to Fulfly.
• Recipients’ Data: End-customer data required to deliver orders.

3) Eligibility & Account
• You must have legal capacity to enter into these Terms (for yourself or your company).
• You are responsible for accurate account information, keeping credentials confidential, and all activity under your account.
• We may suspend or terminate accounts in case of suspected fraud, misuse, policy violations, or security risks.

4) Services & Operations
• Services are provided based on our packages/pricing and any written or electronic agreement and/or SLA.
• Service execution depends on the data and instructions provided by the Client.
• Working hours, service areas, and available carriers may change and will be communicated via the dashboard or our team.

5) Client (Merchant) Responsibilities

The Client is responsible for:
1. Providing accurate, complete, and updated order and recipient details.
2. Ensuring products are lawful and permitted for storage/shipping in Egypt.
3. Following labeling and packaging requirements (SKU/barcode) and operational instructions.
4. Disclosing special handling requirements (fragile/temperature-sensitive, etc.) and covering related costs where applicable.
5. Having a lawful basis to share Recipients’ Data with Fulfly for fulfillment.
6. Not submitting prohibited or high-risk products.

6) Prohibited / High-Risk Products

You may not store or ship illegal goods, counterfeit items, IP-infringing goods, or hazardous/restricted materials unless explicitly approved in writing. We may refuse or stop processing such orders without liability.

7) Inventory & Storage
• The Client must ensure inbound quantities and SKUs match the inbound documentation per our receiving procedures.
• Storage/handling fees may apply based on your plan or agreement.
• Any visible damage or discrepancies at receiving may be documented and communicated to the Client.

8) Order Processing (Picking & Packing)
• We process orders based on Client-provided data.
• Orders may be paused if information is missing or inconsistent.
• Custom packaging inserts/branding materials are subject to availability and prior agreement.

9) Shipping, Delivery & COD (if applicable)
• Delivery may be performed by third-party carriers; timelines are estimates and may vary.
• For COD, collection and settlements follow the agreed schedule/policy.
• The Client is responsible for its own sales/returns policies and commercial communication with recipients; Fulfly’s role is operational.

10) Returns (Returns / RTO)
• Returns are handled according to the Client’s policy, carrier rules, and applicable law.
• Additional fees may apply for returns, reshipments, or restocking based on the agreement.
• The Client determines the disposition of returned items based on available options.

11) Pricing, Invoicing & Payment
• Pricing is based on packages/quotes/agreements.
• We may update pricing in the future with prior notice.
• Late payments may result in service suspension and/or holding settlements until payment is completed (as permitted by law).

12) Limitation of Liability
• We do not guarantee uninterrupted or error-free service.
• We are not liable for indirect losses (lost profits, reputation, opportunities).
• Where liability is established, our maximum liability is limited to the service fees for the disputed order, unless otherwise agreed in writing or required by law.

13) Claims (Loss/Damage)

Claims related to loss/damage/shortage must be reported within 7 days of discovery, with supporting evidence upon request.

14) Intellectual Property

All website/dashboard content (logos, designs, text, systems) is owned by or licensed to Fulfly and may not be used without permission.

15) Confidentiality

Business and operational information exchanged between the parties is confidential and may only be disclosed as necessary for operations or by legal requirement.

16) Privacy & Data

Personal data processing is governed by our Privacy Policy. For Recipients’ Data, the Client is typically the Controller and Fulfly acts as the Processor to deliver the Services.

17) Suspension / Termination

We may suspend or terminate Services for non-payment, violation of Terms, suspected fraud, or security risks. Upon termination, outstanding obligations will be settled and inventory disposition handled per applicable procedures.

18) Force Majeure

We are not responsible for delays or failures due to events beyond reasonable control (government actions, disasters, carrier disruptions, outages, etc.).

19) Governing Law & Jurisdiction

These Terms are governed by Egyptian law. Disputes shall be subject to the courts of Cairo, unless otherwise agreed.

20) Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website. Continued use of the Services means you accept the updates.
